21.10.2026 tarih ve 2026/20 sayılı Yönetim Kurulu Kararının yerine geçmek üzere Yönetim Kurulumuz 23.10.2026 tarihinde toplanarak aşağıdaki kararları almıştır. Sn. Didem BARLAS'ın bağımsızlık beyanı ekte yer almaktadır. Sn. Didem BARLAS'ın, Kurumsal Yönetim Tebliğ'inde yer alan bağımsızlık kriterlerine uygunluğu hususunda SPK'ya gerekli başvuru yapılmıştır. İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir. 2) In accordance with the Company's Articles of Association and the provisions of the Capital Markets Board's (CMB) Communiqué on Corporate Governance (II-17.1), and pursuant to Corporate Governance Principle 4.3.6 as set forth in the annex to said Communiqué, to determine that Ms. Didem BARLAS meets the criteria for an independent board member and to nominate her as a candidate for independent member of the Board of Directors; and, in accordance with Corporate Governance Principle 4.3.8 as set forth in the annex to the same Communiqué, to notify the Capital Markets Board of this matter. 3) Subject to the approval of the Capital Markets Board, and in accordance with the provisions of our Company's Articles of Association and the Capital Markets Board's (CMB) Communiqué on Corporate Governance (II-17.1) specifically following an evaluation by the Corporate Governance Committee (as per provision 4.3.8 of the said Communiqué) and the subsequent "Evaluation Report on Independent Board Member Candidates" it has been resolved to appoint Ms. Didem BARLAS as an Independent Member of the Board of Directors, pursuant to Article 363 of the Turkish Commercial Code. This appointment shall be submitted for approval at the first General Assembly meeting, and, upon such approval, Ms. BARLAS shall serve for the remainder of her predecessor's term. 4) It has been further resolved to carry out all necessary procedures for the registration of this decision with the Trade Registry, and for its publication in the Turkish Trade Registry Gazette and on the Public Disclosure Platform (KAP). The independence declaration of Ms. Didem BARLAS is attached. The necessary application has been submitted to the Capital Markets Board (CMB) regarding Ms. Didem Barlas's compliance with the independence criteria set forth in the Communiqué on Corporate Governance. This Material Event Disclosure has been prepared in both Turkish and English. In the event of any discrepancy between the two versions, the Turkish version shall prevail.
