8. Pay geri alım işlemleri ile ilgili olarak Şirket Yönetiminin yetkilendirilmesine oybirliği ile karar verilmiştir. İş bu açıklamanın İngilizce çevirisi KAP'ta eş zamanlı olarak yayımlanmakta olup, Türkçe ve İngilizce açıklamalar arasında herhangi bir farklılık bulunması durumunda Türkçe açıklama esas alınacaktır. 1. In accordance with the provisions of the Capital Markets Board's (CMB) Principle Decision No. i-SPK 22.9.a (dated September 22, 2026; resolution no. 60/1711) and Principle Decision No. SPK.22.9 (dated March 19, 2025; resolution no. 16/531)—both published in the CMB's bulletin dated September 22, 2026 (issue 2026/63)—as well as the Communiqué on Buy-Back Shares (II-22.1), it has been resolved to launch a share buy-back program for our Company's Group B shares traded on Borsa Istanbul. This initiative aims to address the fact that the current market price of our shares does not reflect the true performance of our Company's operations, to protect the interests of all our stakeholders, to contribute to the formation of a fair market price, and to support price stability. 2. The maximum number of shares subject to the buy-back program shall be 15,000,000 Group B shares or a total value of 150,000,000 TL, as of the date of this resolution. 3. The maximum fund amount to be allocated for the share buy-back program shall be 150,000,000 TL. 8. To authorize the Company's management to carry out the share buyback transactions. This disclosure has been translated into English from the original Turkish version. In case of any discrepancy between the Turkish and English versions, the Turkish version shall prevail.
